These Terms of Service (“Terms”) govern your access to and use of our website, services, subscriptions, content, automations, hosting, social media management services, content creation services, and related offerings.
By accessing our website, requesting services, signing a proposal, submitting payment, subscribing through Stripe, continuing to use our services, or otherwise engaging with SimplyMade Social, you (“Client,” “you,” or “your”) acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not use our services.
1. Services Provided
SimplyMade Social provides digital marketing, creative, technical, and automation-related services, including but not limited to:
- Website design and development
- Website hosting and maintenance
- Managed website care plans
- SEO optimization and consulting
- Business automation workflows
- Workflow integrations and API connections
- CRM and client portal integrations
- Social media management
- Photography and videography services
- Event content creation
- Branding and digital strategy
- Analytics and reporting
- Technical consulting
Service scope may vary depending on the proposal, plan, subscription tier, invoice, or written agreement between SimplyMade Social and the Client.
2. Acceptance of Terms Through Payment
Payment of any invoice, proposal, subscription, Stripe checkout session, recurring billing plan, setup fee, or deposit constitutes acknowledgment and acceptance of these Terms and the Privacy Policy.
By submitting payment through Stripe or any other approved payment processor, you expressly agree to:

- Any applicable proposal or service agreement
- Recurring billing terms where applicable
3. Website Management Plans
SimplyMade Social offers managed website care plans that may include hosting, monitoring, support, updates, optimization, and maintenance services.
Essential Plan
Intended for lower-maintenance websites and may include:
- Managed hosting
- SSL and domain support
- Uptime monitoring
- Basic technical support
- Occasional minor content updates
Growth Plan
Includes Essential plan services plus:
- Ongoing content updates
- Priority support
- Monthly optimization reviews
- Basic SEO improvements
- Expanded support availability
Concierge Plan
Includes Growth plan services plus:
- Higher-priority response times
- Landing page modifications
- Conversion optimization guidance
- Expanded technical support
- Dedicated support assistance
Plan Limitations
Unless otherwise agreed in writing:
- Unused edits or support requests do not roll over monthly
- Major redesigns or rebuilds are not included
- Excessive revisions or requests outside plan scope may incur additional fees
- Emergency or expedited requests may incur rush fees
- Custom development work is billed separately unless explicitly included
4. Hosting Services
Where hosting is provided by SimplyMade Social:
- Hosting environments remain managed by SimplyMade Social
- We may suspend services for nonpayment, abuse, illegal activity, or security concerns
- While reasonable precautions are taken, uninterrupted uptime is not guaranteed
- Backup availability may vary depending on plan level
- Client remains responsible for maintaining ownership and renewal of domains unless otherwise agreed
SimplyMade Social is not liable for:
- Hosting provider outages
- DNS propagation delays
- Third-party infrastructure failures
- Cyberattacks or malicious activity outside our reasonable control
5. Automation Services
SimplyMade Social may build, deploy, maintain, or manage business automations and integrations using platforms including but not limited to:
- n8n
- Zapier
- Make
- Stripe
- Google Workspace
- CRM systems
- AI providers
- APIs and third-party integrations
Automation Disclaimer
Client acknowledges that:
- Automation systems depend on third-party platforms and APIs
- Third-party platform updates may disrupt workflows
- No automation system can guarantee uninterrupted operation
- Client is responsible for reviewing and approving workflows before production use
- Client is responsible for maintaining third-party subscriptions where required
SimplyMade Social does not guarantee:
- Revenue growth
- Lead generation outcomes
- Platform uptime
- API reliability
- Business performance improvements
Additional maintenance fees may apply when third-party systems materially change functionality.
6. Social Media Management Services
Social media services may include:
- Content creation
- Scheduling and posting
- Community management
- Strategy consulting
- Analytics reporting
- Paid advertising assistance
Client acknowledges:
- Social media algorithms and platform policies are outside our control
- Engagement, reach, and follower growth cannot be guaranteed
- Client is responsible for factual accuracy and legality of submitted materials
- Delays in approvals may impact posting schedules
Unless otherwise stated:
- Advertising spend is separate from management fees
- Revision limits may apply
- Account access credentials must be provided by Client
7. Event Photography & Content Creation
Event-related services may include:
- Photography
- Videography
- Reels and social media content
- Editing and post-production
Ownership & Usage
Unless otherwise agreed in writing:
- Final edited deliverables are licensed to the Client upon full payment
- Raw footage and unedited files remain property of SimplyMade Social
- SimplyMade Social may use content for portfolio, promotional, or marketing purposes unless Client opts out in writing before project completion
Event Conditions
Client is responsible for:
- Obtaining venue permissions
- Ensuring filming permissions where required
- Providing accurate scheduling information
SimplyMade Social is not responsible for missed coverage caused by:
- Venue restrictions
- Delays
- Inclement weather
- Unsafe conditions
- Third-party interference
8. Billing, Subscriptions, & Payments
Payment Terms
Payment may be collected through:
- Stripe
- ACH
- Credit/debit card
- Invoicing platforms
- Approved payment processors
Recurring subscriptions automatically renew unless canceled in accordance with these Terms.
Failed Payments
If payment fails:
- Services may be suspended
- Late fees may apply
- Access to hosted systems may be restricted
Setup Fees
One-time setup fees may apply for:
- Website builds
- Automation configuration
- Onboarding
- Integrations
- Custom development
Subscription Commitments
Certain promotional pricing, discounted builds, or free website offers may require minimum subscription commitments.
Failure to maintain required commitments may result in:
- Early termination fees
- Removal of promotional pricing
- Additional service charges
Refund Policy
Unless otherwise stated in writing:
- Payments are non-refundable
- Partial months are not prorated
- Setup fees are non-refundable once work has commenced
9. Intellectual Property
Client retains ownership of:
- Client-provided materials
- Logos and trademarks
- Final approved deliverables after full payment
SimplyMade Social retains ownership of:
- Internal systems
- Automation architecture
- Workflow logic
- Proprietary processes
- Templates
- Frameworks
- Internal code libraries
Third-party software, assets, or licenses remain subject to their respective owners’ terms.
10. Client Responsibilities
Client agrees to:
- Provide accurate information
- Respond to requests in a timely manner
- Maintain lawful use of services
- Obtain proper rights for submitted materials
- Not use services for illegal, abusive, or fraudulent purposes
Delays in Client communication, approvals, or asset delivery may delay project timelines.
11. SEO & Marketing Disclaimer
SimplyMade Social does not guarantee:
- Specific search engine rankings
- Traffic levels
- Conversion rates
- Revenue outcomes
- Advertising performance
Search engines and advertising platforms regularly modify their algorithms and policies, which may impact results.
12. AI & Automation Disclaimer
Certain services may utilize AI-assisted technologies.
Client acknowledges:
- AI-generated outputs may contain inaccuracies
- Human review is recommended before publication or implementation
- AI systems may change over time
- Outputs may vary based on third-party AI provider behavior
SimplyMade Social is not liable for decisions made solely based on AI-generated outputs.
13. Third-Party Services
Our services may rely on third-party providers including but not limited to:
- Stripe
- Meta
- TikTok
- Shopify
- Cloudflare
- Vercel
- Odoo
- OpenAI
- Hosting providers
- Analytics providers
SimplyMade Social is not responsible for:
- Third-party outages
- API failures
- Pricing changes
- Account suspensions
- Policy changes
- Service interruptions
14. Limitation of Liability
To the maximum extent permitted by law, SimplyMade Social shall not be liable for:
- Indirect damages
- Consequential damages
- Lost profits
- Lost business opportunities
- Data loss
- Business interruption
- Reputation damage
In no event shall SimplyMade Social’s total liability exceed the amount paid by Client to SimplyMade Social during the three (3) months preceding the claim.
Services are provided “as is” and “as available” to the fullest extent permitted by law.
15. Indemnification
Client agrees to indemnify, defend, and hold harmless SimplyMade Social from any claims, damages, liabilities, costs, or expenses arising from:
- Client-provided content
- Copyright infringement
- Misuse of services
- Violation of laws or regulations
- Unauthorized use of third-party materials
16. Force Majeure
SimplyMade Social shall not be liable for delays or failures caused by events outside reasonable control, including but not limited to:
- Natural disasters
- Internet outages
- Cyberattacks
- Government actions
- Labor shortages
- Pandemics
- War
- Platform outages
- API failures
- Hosting disruptions
17. Termination
We reserve the right to suspend or terminate services for:
- Nonpayment
- Abuse
- Fraudulent activity
- Violation of these Terms
- Illegal activity
Client may terminate services according to any applicable subscription or service agreement.
Outstanding balances remain due upon termination.
18. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.
Any disputes shall be resolved in the courts located in Santa Clara County, California.
19. Changes to Terms
SimplyMade Social reserves the right to modify these Terms at any time.
Updated Terms become effective upon posting to the website.
Continued use of services constitutes acceptance of updated Terms.
